These Terms and Conditions ("Terms") govern your access to and use of Projestic (the "Service") provided by Your Company Ltd. ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at the contact email below if you suspect unauthorized access.

The Service includes an AI assistant ("Jarwis") that generates automated responses and may perform actions on your board based on your instructions and configured rules.

AI outputs are provided for general informational and productivity purposes only. They may be inaccurate, incomplete, outdated, or inappropriate. AI is not a substitute for professional advice (including legal, financial, tax, medical, or other specialized advice).

You are solely responsible for reviewing, verifying, and approving any AI-generated content or actions before relying on them. We do not guarantee the accuracy, reliability, or suitability of AI outputs.

By using AI features, you acknowledge that your data may be processed by third-party AI providers and that you will not submit information you are not authorized to share.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Paid plans are billed through our payment provider (Stripe). Fees, billing cycles, and features are described at signup or in your account settings. Taxes may apply.

You may cancel a paid subscription according to the options in your account. Unless otherwise stated, cancellation takes effect at the end of the current billing period. We do not provide refunds except where required by law.

You agree not to:

• Use the Service unlawfully or to violate the rights of others.
• Upload malware, attempt unauthorized access, or interfere with the Service.
• Reverse engineer or scrape the Service except as permitted by law.
• Use the Service to send spam or abusive content.
• Misrepresent your identity or affiliation.

You retain ownership of content you submit to the Service. You grant us a worldwide, non-exclusive license to host, store, reproduce, and process your content solely to operate, improve, and secure the Service and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit your content and that it does not infringe third-party rights.

We and our licensors own the Service, including software, branding, and documentation, except for your content. No rights are granted except as expressly stated in these Terms.

We may suspend or terminate your access if you violate these Terms, pose a security risk, or as required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

We may modify or discontinue the Service or update these Terms at any time. Material changes will be posted with an updated date. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory local law applies.

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, it shall be brought in the courts of competent jurisdiction in the governing jurisdiction above, unless applicable law requires otherwise.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
